OWNER-OPERATOR AGREEMENT
This Owner-Operator Agreement ("Agreement") is entered into between: SpeediiDelivery.com ("Company"), with its principal place of business at [Company Address], and You ("Owner-Operator"), an independent contractor, upon digital acceptance of this Agreement and/or acceptance of loads or deliveries from SpeediiDelivery.com.
1. SCOPE OF AGREEMENT
The Company contracts the Owner-Operator as an independent contractor to provide transportation services, including but not limited to:
- Less-Than-Truckload (LTL) delivery services
- Full Truckload (FTL) delivery services
- Flatbed delivery services
- Any additional services that may be added later by the Company
The Owner-Operator agrees to provide and operate a commercial vehicle for the purpose of fulfilling the Company’s delivery requirements.
The Owner-Operator acknowledges that this Agreement does not create an employer-employee relationship, joint venture, or partnership between the Parties.
2. COMPENSATION & PAYMENT TERMS
The Owner-Operator shall be compensated as discussed between the Parties for each completed delivery.
Payment shall be made weekly via direct deposit or another agreed-upon method.
The Company shall provide an invoice breakdown for each payment period.
The Owner-Operator is responsible for all expenses related to their operation, including but not limited to fuel, maintenance, permits, and tolls.
3. TERM & TERMINATION
This Agreement is effective upon digital acceptance and/or acceptance of any loads or deliveries and shall remain in effect unless terminated by either Party. Either Party may terminate this Agreement with 30 days' written notice.
The Company may terminate this Agreement immediately if the Owner-Operator:
- Violates any law or regulation that impacts their ability to operate
- Engages in fraudulent or unethical conduct
- Poaches or solicits clients of the Company
- Fails to maintain the required insurance (see Section 5)
4. NON-COMPETE & CLIENT PROTECTION
The Owner-Operator shall not directly or indirectly solicit, poach, or accept business from any clients or customers of the Company during the term of this Agreement and for 24 months following termination.
The Owner-Operator acknowledges that all customer relationships, contacts, and information belong exclusively to the Company.
The Owner-Operator shall not share, sell, or use customer information for personal or business purposes outside of this Agreement.
Violation of this section shall result in immediate termination and may result in legal action, including but not limited to damages and injunctive relief.
5. INSURANCE REQUIREMENTS
The Owner-Operator is required to maintain the following minimum insurance coverage at all times:
- Commercial Auto Liability Insurance: Minimum coverage of $1,000,000 per occurrence.
- Cargo Insurance: Minimum coverage of $50,000.
- General Liability Insurance: Minimum coverage of $1,000,000.
- Workers’ Compensation Insurance (if applicable by law).
The Owner-Operator must add SpeediiDelivery.com as an additional insured on their Certificate of Insurance (COI).
Proof of valid insurance must be submitted to the Company before commencing work.
The Owner-Operator must notify the Company immediately of any policy cancellations or modifications.
6. INDEPENDENT CONTRACTOR STATUS
The Owner-Operator acknowledges and agrees that:
- They are an independent contractor, not an employee of the Company.
- They are responsible for paying all applicable taxes, including self-employment tax, income tax, and any other required government payments.
- They are responsible for maintaining and repairing their equipment.
- They have full control over the manner, method, and means by which they provide their services.
The Company shall not provide benefits such as health insurance, retirement plans, or paid time off.
7. VEHICLE REQUIREMENTS & RESPONSIBILITIES
The Owner-Operator must use a commercial vehicle that meets industry safety and compliance standards.
The Owner-Operator is responsible for:
- All maintenance and repair costs.
- Keeping their vehicle in safe and operable condition.
- Ensuring compliance with all Department of Transportation (DOT) and local regulations.
8. COMPLIANCE WITH LAWS & REGULATIONS
The Owner-Operator shall comply with all federal, provincial, and municipal laws and regulations governing transportation services, including but not limited to:
- Hours of Service (HOS) regulations
- DOT and carrier safety requirements
- Proper load securement procedures
The Owner-Operator is responsible for ensuring that they have all permits, licenses, and registrations necessary to operate legally.
9. CONFIDENTIALITY
The Owner-Operator agrees that any proprietary information, pricing, client details, and business strategies shared by the Company shall remain confidential.
The Owner-Operator shall not disclose or use any confidential information for personal gain.
This confidentiality clause remains in effect during and for 24 months after termination of this Agreement.
10. DISPUTE RESOLUTION
Any disputes arising under this Agreement shall first be resolved through good-faith negotiations.
If no resolution is reached, disputes shall be submitted to binding arbitration in Ontario.
Each Party shall be responsible for paying their own legal fees and costs.
11. GENERAL PROVISIONS
Amendments: The Company reserves the right to update this Agreement. Owner-Operators must check the SpeediiDelivery.com website periodically for updates.
Severability: If any provision is found invalid, the remainder of the Agreement shall remain in effect.
Governing Law: This Agreement shall be governed by the laws of Ontario.
Assignment: The Owner-Operator shall not assign this Agreement to another party without prior written consent from the Company.
Digital Acceptance & Legally Binding Effect: By clicking "Submit" or "Accept" and/or by accepting loads or deliveries from SpeediiDelivery.com, the Owner-Operator acknowledges and agrees that:
- They have read and understood the terms of this Agreement.
- They agree to be legally bound by the terms of this Agreement.
- Their digital acceptance and/or acceptance of loads is equivalent to a physical signature under applicable electronic contract laws.
