Introduction Welcome to Speedii Delivery ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our shipping and delivery services ("Services"). By using our Services, you agree to these Terms.

2. Services

2.1. Speedii Delivery provides Less-Than-Truckload (LTL) and flatbed freight services through a trusted network of licensed, insured transportation professionals to ensure reliable and efficient deliveries.

2.2. All delivery schedules are estimates and subject to delays beyond our control, including but not limited to weather conditions, traffic disruptions, government regulations, and unforeseen circumstances.

2.3. Speedii Delivery is not responsible for any damages, losses, or penalties incurred due to delays arising from events beyond our control.

3. Client Responsibilities

3.1. Clients must provide accurate pickup and delivery details.

3.2. Clients must ensure proper packaging of goods for safe transportation, adhering to the National Motor Freight Classification (NMFC) 100 series packaging standards.

3.3. Clients must comply with all applicable laws and regulations.

4. Payment Terms

4.1. All invoices must be paid within 15 days of issuance.

4.2. Late payments exceeding 30 days will incur interest charges at 1.5% per month (19.6% per annum).

4.3. Failure to pay invoices on time may result in service suspension, legal action, and additional penalties, including but not limited to collection fees and legal costs.

4A. Billing & Payment Structure

4A.1. Speedii Delivery reserves the right to require prepayment in full for any shipment, especially for new, one-time, or occasional customers. Prepaid shipments must be paid before dispatch, and no services will be rendered until payment is confirmed.

4A.2. For recurring or volume shippers with an approved account, Speedii Delivery may extend Net 7 or Net 14 invoicing terms, at its sole discretion. Invoices must be paid by the due date indicated. Failure to pay on time may result in service suspension and/or reversion to prepaid-only terms.

4A.3. High-volume customers may be invoiced weekly or monthly, depending on the terms of their service agreement. All invoices will reflect the services rendered during the billing period and are subject to the same payment terms.

4A.4. Speedii Delivery reserves the right to adjust a customer’s billing terms at any time based on payment history, order volume, or credit risk.

4A.5. Any disputed charges must be reported in writing within five (5) business days of invoice receipt. Disputes do not exempt the customer from paying undisputed amounts by the due date.

4B. Volume Service Agreement Terms

4B.1. For clients who place recurring or high-volume orders, Speedii Delivery may offer service on a scheduled or ongoing basis under these Terms, without the need for a separate signed contract.

4B.2. A “Volume Shipper” is defined as any customer consistently ordering 3 or more deliveries per week or otherwise determined by Speedii Delivery based on frequency, volume, or scheduling needs.

4B.3. By placing recurring or high-volume orders, the client agrees to be bound by these Terms as a Volume Service Agreement, including but not limited to: (a) Recurring pickup scheduling as discussed (b) Agreed delivery windows or locations (c) Weekly or monthly consolidated invoicing (d) Standard pallet and overweight terms under Section 14

4B.4. All recurring services remain subject to Speedii Delivery’s General Terms and Conditions, including billing, liability, cancellation, and dispute resolution clauses. 4B.5. Either party may terminate the recurring service relationship at any time with 7 days' written notice. Any outstanding charges remain due as invoiced.

5. Liability & Insurance

5.1. Speedii Delivery is not liable for losses due to delays beyond our control, including but not limited to adverse weather conditions, traffic disruptions, government regulations, or other force majeure events.

5.2. Cargo insurance is available for shipments, with a minimum coverage of $50,000.

5.3. Maximum liability for loss or damage is $2.00 per pound based on actual shipment weight.

5.4. Claims for damaged or lost shipments must be submitted within 7 days of delivery, with concealed damage claims reported within 24 hours.

5.5. Claims under $50.00 will not be honored.

5.6. Speedii Delivery is not responsible for consequential losses, penalties, fines, or lost profits due to delivery delays or non-compliance with consignee procedures.

6. Cancellation & Refunds

6.1. Cancellations must be requested in writing before dispatching a shipment.

6.2. Refunds are only available for cancellations made before pickup and are subject to processing fees.

6.3. No refunds will be issued for failed deliveries due to incorrect information or lack of recipient availability.

7. Confidentiality

7.1. Clients agree to keep all pricing, service agreements, and business-related information confidential.

7.2. This obligation remains in effect for 24 months after service termination.

8. Non-Solicitation

8.1. Clients shall not solicit or hire Speedii Delivery’s owner-operators directly for deliveries outside our platform.

8.2. This restriction applies for 24 months following the last service date.

9. Restricted/Prohibited Items

9.1. The following items are not accepted for transport: High-value goods (art, jewelry, antiques, currency, negotiable securities) Firearms, explosives, hazardous materials (Class 1, certain Class 7 materials, regulated waste) Live animals, perishable food (fish, meat, poultry, fresh or frozen), plants Unaccompanied baggage, personal effects, or household goods

9.2. Clients are responsible for ensuring that shipments do not contain any restricted or prohibited items.

10. Amendments

10.1. Speedii Delivery reserves the right to update these Terms at any time.

10.2. Clients must review the Terms periodically for changes.

Dispute Resolution

11.1. Any disputes shall be governed by the laws of Ontario, Canada.

11.2. Each party shall bear its own legal fees and costs in any dispute resolution.

11.3. Disputes shall be resolved through arbitration before court proceedings.

Governing Law

12.1. These Terms shall be governed and construed in accordance with the laws of Ontario, Canada.

13. Automatic Renewal

13.1. These Terms and Conditions automatically renew on an annual basis unless either party provides a 30-day written notice of termination before the renewal date.

14. Standard Pallet Weight & Re-Weighing

14.1. Speedii Delivery defines a standard skid/pallet as having maximum dimensions of 48 inches (L) x 48 inches (W) x 96 inches (H) and a maximum weight of 1,000 lbs per pallet.

14.2. Shipments exceeding these dimensions will be charged as an additional pallet.

14.3. Shipments exceeding 1,000 lbs per pallet will be charged an overweight fee of $0.50 per excess pound.

14.4. Speedii Delivery reserves the right to re-weigh shipments and adjust charges accordingly.

15. Additional Charges

15.1. Reconsignment Fee: $30 per shipment for a change in the place of delivery.

15.2. Scheduled Delivery/Pick-up: $38 per shipment when an appointment is required.

15.3. Address Correction Fee: $30 per shipment for incorrect address details.

15.4. Pallet Correction Fee: $10 plus actual shipment charges for pallet-related discrepancies.

15.5. Overweight Charges: $0.50 per lbs over 1,000 lbs per pallet

15.6. Downtown (Toronto)/Limited Access Fee: $50 per shipment.

15.7. Lift Gate Required: $50 per location (max $250 per shipment).

15.8. Hand Load/Unload Fee: $50 per shipment for manual handling by the driver.

15.9. Residential Pick-Up/Delivery: $30 per shipment if the location does not have a public entrance (max $240 per shipment).

15.10. Forwarding Fee: $30 per shipment when origin, destination, or third-party is a transportation company.

15.11. Special Equipment Required Fee: $30 per shipment for facility-specific vehicle requirements.

15.12. Failed Pick-Up Attempt: $65.50 per occurrence when the shipment is not ready or released by the shipper.

15.13. Driver Wait Time: First 30 minutes included, $2.50 per minute thereafter.

16. Agreement Acceptance

16.1. By ordering or using any of Speedii Delivery’s services, including one-time or recurring deliveries, the client acknowledges and agrees to be bound by these Terms and Conditions, including the Billing, Payment, and Volume Service Agreement clauses. 1

6.2. Your continued use of Speedii Delivery constitutes acceptance of any updated Terms.
